Terms and Conditions

Effective date: 24 September 2025

1. Introduction

1.1. These Terms and Conditions ("Terms") govern your access to and use of ifileconverter.co.uk and any related pages, applications or downloadable content (the "Service"), operated by WISHES AND MEMORIES LTD (company number 15957246, registered office: 31 Auctioneers Way, Northampton, United Kingdom, NN1 1HF) ("iFileConverter", "we", "us", "our").

1.2. By creating an account, purchasing Tokens or using any file-conversion features on the Service, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1.3. iFileConverter provides an online, self-service platform that allows you to upload files (for example, PDF documents) and convert them into other supported formats (such as DOC, DOCX, RTF, ODT, TXT, XLS, XLSX, CSV and any other formats we may add from time to time) using a credit-based token system. We do not provide legal, regulatory, accounting or compliance advice, and we do not guarantee that any converted file will be accepted by employers, courts, government bodies, financial institutions, online platforms or any other third parties, whose policies and technical requirements are outside our control.

2. Definitions

For the purposes of these Terms:

  • Account – your user profile on the Service, created with an email address and password or any other login method we support.
  • Tokens / Wallet – pre-paid, non-transferable digital credits in your Account that can be used to access paid features of the Service. Tokens are not cash, e-money, deposits or financial instruments.
  • Services – the functionalities and tools made available by iFileConverter via the Service, including document upload, format conversion, download of converted files, bulk processing and account management.
  • Source Files – the documents and other files you upload to the Service for processing.
  • Converted Files / Outputs – the files and related information generated by the Service based on your Source Files and chosen settings.
  • Client Content – all Source Files, text, images, data, metadata, names, personal information and any other content that you submit to or upload into the Service.
  • Third-Party Platforms – any external systems, services or platforms operated by others.
  • Order / Transaction – a confirmed purchase of Tokens or any other paid feature made available via the Service.

3. Eligibility & Account Registration

3.1. You must be at least 18 years old, or have valid corporate authority, to use the Service. If you are using the Service on behalf of a business or organisation, you confirm that you are authorised to bind that entity to these Terms.

3.2. You must provide accurate, current and complete information when creating your Account and keep it up to date. You are responsible for maintaining the confidentiality of your login details and for all activities that occur under your Account.

3.3. If you suspect unauthorised access, misuse of your credentials or any other security incident, you must notify us promptly at info@ifileconverter.co.uk.

4. Nature of Services & Contract Structure

4.1. iFileConverter provides automated tools for converting files from one format to another. Our Service is technical in nature and does not assess or verify the legal, factual, evidential or professional adequacy of any Source Files or Converted Files.

4.2. File conversion is performed based on the Source Files and options you select. Conversion may affect layout, formatting, fonts, tables, images or other elements. It is your responsibility to review the Converted Files and decide whether they are accurate, complete and suitable for your intended use.

4.3. The operation, requirements and policies of Third-Party Platforms are outside our control. We do not promise that any Converted File will be accepted or processed by any particular third party, or that it will meet specific technical, evidential or regulatory standards.

4.4. Unless expressly agreed in a separate written contract, iFileConverter does not act as your agent or representative before any court, authority, employer, professional body or other third party and does not submit filings or documents on your behalf.

4.5. Your contract with us is formed when you create an Account and is supplemented each time you purchase Tokens or otherwise use paid features of the Service.

4.6. Nothing in the Service, or in any documentation or communication from us, is intended to constitute legal, financial, tax or professional advice. You remain responsible for seeking your own professional advice where appropriate.

5. Scope of Services & Converted Files

5.1. Depending on your chosen plan and available features, the Services may include: upload of Source Files in supported formats; conversion into selected output formats; optional settings such as text-only export; an account dashboard, conversion history and download links; and other features described on the Service.

5.2. Converted Files are generated automatically based on the Client Content and options that you choose. If your Source Files are incomplete, corrupted, password-protected, of low quality or contain complex formatting, the results may be inaccurate or may not fully preserve the original appearance or structure.

5.3. You are solely responsible for how you use the Converted Files, including editing, reviewing and verifying content; storing, archiving or deleting files; submitting files to Third-Party Platforms; and ensuring compliance with all applicable requirements.

5.4. We do not guarantee that all elements of the original file will be preserved; that text extracted from scans will be error-free; or that Converted Files will be compatible with every software or device.

5.5. You should always keep your own copies of important Source Files and Converted Files. The Service is not intended to be a permanent storage or archiving solution.

6. Client Content & Your Responsibilities

6.1. You warrant that you have all necessary rights, licences and permissions to upload Client Content to the Service and to use the resulting Converted Files.

6.2. You must ensure that Client Content is lawful, does not infringe any third-party rights and complies with any applicable rules.

6.3. You are solely responsible for backing up any Client Content or Converted Files you wish to retain.

6.4. You must not upload or submit Client Content that contains malware, malicious code, exploits, or any other content that could compromise the security or integrity of the Service.

6.5. You must not use the Service to process or store illegal content, defamatory or obscene content, or personal data of third parties where you do not have a lawful basis. You remain responsible for any personal data contained in your Client Content and for complying with applicable data protection laws.

7. Acceptable Use

7.1. You must use the Service in a fair and lawful manner. You must not attempt to access other users' Accounts; bypass security or technical limitations; reverse engineer or systematically extract data; use robots or automated tools abusively; manipulate billing records; overload or disrupt our systems; or use the Service for unlawful, deceptive or fraudulent purposes.

7.2. We may apply rate limits, temporarily restrict certain features, or suspend or terminate your access where we reasonably suspect abuse, breach of these Terms, legal risk or risks to system stability or security.

8. Tokens, Pricing & Payment

Accepted payment methods: Visa and Mastercard (additional methods may be introduced from time to time).

8.1. Exchange rate. Unless otherwise stated, the reference rate for Tokens is 100 Tokens = £1.00 / €1.17 / $1.29. Prices may be displayed in GBP, EUR or USD. Your bank may apply its own foreign-exchange rate and fees.

8.2. Token packs. We may offer different Token packages (Starter, Pro, Enterprise, Custom). Prices and included Tokens will be described on the Service. Unless clearly stated otherwise, Token packs are one-off purchases and are not subscriptions.

8.3. Wallet nature. When you purchase Tokens, you are making an advance payment for access to paid features. Your Wallet is not a bank account or e-money account. Tokens do not earn interest and have no monetary value outside the Service.

8.4. Authorisation. By submitting a payment method, you authorise us and our payment processors to capture the relevant amount for the Token purchase and any related adjustments.

8.5. Consumption. Tokens are deducted when you use paid features. Once consumed, they are non-returnable and have no cash value.

8.6. Expiry. Unless explicitly stated otherwise, Tokens do not have a fixed expiry date. However, we reserve the right to introduce reasonable expiry periods or inactivity rules in the future, subject to prior notice.

8.7. Taxes & invoices. We provide electronic receipts and/or invoices for Token purchases. Applicable VAT or other taxes will be shown where required by law.

9. Cancellations, Refunds & Chargebacks

9.1. Digital content and performance. The Service provides digital content that may be available immediately after purchase. By purchasing and using Tokens, you acknowledge and agree that we may begin performance immediately and that any statutory consumer right to cancel digital content may no longer apply, to the extent permitted by law.

9.2. Refunds for unused Tokens. Wallet top-ups are generally non-refundable. In exceptional cases (technical error, duplicate payment or proven unauthorised transaction), you may request a refund of unused Tokens at our discretion.

9.3. Service issues. If you experience technical issues that prevent you from using your Tokens, notify us promptly. Where a fault is attributable to us, we may re-credit Tokens, re-run conversions or issue a partial refund.

9.4. Chargebacks. If you initiate a chargeback for Services or Tokens that were validly provided, we may suspend or terminate your Account, deduct amounts owed from your remaining Tokens, and pursue recovery of outstanding amounts and reasonable costs.

10. Intellectual Property

10.1. The Service is owned by iFileConverter or its licensors and is protected by copyright, trademark and other intellectual property laws.

10.2. Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable licence to download and use the Converted Files for your internal business or personal purposes.

10.3. You must not resell or rent access to the Service as a competing platform; publicly distribute large-scale collections of Converted Files as a standalone commercial product; or remove proprietary notices.

10.4. We do not claim ownership of your Client Content. However, you grant us a worldwide, non-exclusive, royalty-free licence to use, host, process and reproduce Client Content solely for operating, maintaining and improving the Service.

11. Confidentiality

11.1. Each party may receive confidential information from the other. Each party agrees to use such information only for the purposes of providing or using the Service and to protect it with at least reasonable care.

11.2. Confidentiality obligations do not apply to information that is or becomes publicly available without breach; was already lawfully known; is independently developed; or must be disclosed by law or court order.

12. Third-Party Platforms & Links

12.1. The Service may contain links to, or be used in connection with, Third-Party Platforms. Your use of such platforms is governed by their own terms. We are not responsible for their availability, performance, security or practices.

12.2. We do not endorse, control or guarantee any Third-Party Platform. Any decision to store, send or submit Converted Files to such platforms is at your own discretion and risk.

12.3. Where you connect your Account to a Third-Party Platform, you are responsible for ensuring that such connection is lawful, revocable and compliant with the third party's terms.

13. Warranties & Disclaimers

13.1. We warrant that we are entitled to provide the Service and that we will use reasonable skill and care in operating it.

13.2. Except as expressly set out in these Terms, the Service and all Converted Files are provided "as is" and "as available", without any warranties, representations or guarantees, whether express or implied.

13.3. We do not warrant that any Converted File will be accepted by a particular third party; that the Service will perfectly preserve all formatting; or that the Service will be available at all times or free from errors. You are responsible for checking Converted Files before relying on them.

14. Limitation of Liability

14.1. Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under applicable law.

14.2. Subject to Clause 14.1, our total aggregate liability arising out of or in connection with the Service and these Terms in any 12-month period shall not exceed the total fees and Token payments you have paid to us in that same period.

14.3. Subject to Clause 14.1, we shall not be liable for any loss of profits, revenue, business, contracts or anticipated savings; loss of goodwill or reputation; loss or corruption of data or files; indirect, consequential or special loss; or losses arising from decisions or actions taken by Third-Party Platforms regarding your Converted Files.

15. Indemnity

You agree to indemnify and hold harmless iFileConverter, its directors, officers, employees and contractors from any claims, damages, losses, costs and expenses (including reasonable legal fees) arising out of: (a) your unlawful or improper use of the Service or Converted Files; (b) your breach of these Terms; or (c) any claim that the Client Content, or your use of the Converted Files, infringes or violates any third-party rights or applicable laws.

16. Data Protection & Privacy

16.1. We process personal data as a controller in accordance with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018. Details of how we collect, use and safeguard personal data are set out in our Privacy Policy.

16.2. We may share necessary personal data with trusted third parties such as payment processors, hosting providers, analytics services and fraud-prevention partners, strictly for operating and improving the Service or complying with legal obligations.

16.3. Where personal data is transferred outside the UK or European Economic Area, we will implement appropriate safeguards as required by law.

16.4. Your data protection rights (such as access, rectification, erasure, restriction and objection) are described in our Privacy Policy and may be exercised by contacting us at info@ifileconverter.co.uk.

17. Suspension & Termination

17.1. We may suspend or terminate your Account or access to the Service, with or without notice, if we reasonably believe that you have breached these Terms; are involved in fraud, abuse or unlawful activity; pose a security or operational risk; or must be suspended to comply with law.

17.2. You may stop using the Service at any time and may request closure of your Account by contacting us. Account closure does not automatically entitle you to a refund of unused Tokens.

17.3. Upon termination or suspension, your right to access the Service and use any remaining Tokens ceases. We may retain certain records and limited Client Content as required for tax, accounting, fraud-prevention and legal-compliance purposes.

18. Changes to the Service or Terms

18.1. We may update or modify the Service (including features, pricing and Token packages) from time to time to reflect technical, business or legal developments.

18.2. We may also update these Terms. Where changes are material, we will take reasonable steps to notify you, for example by email or by a notice displayed within the Service.

18.3. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes. If you do not agree, you must stop using the Service and may request closure of your Account.

19. Governing Law & Jurisdiction

19.1. These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of England and Wales.

19.2. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim, except that if you are a consumer resident in Scotland, Northern Ireland or an EU Member State, you may also bring proceedings in your local courts as permitted by applicable consumer law.

20. Miscellaneous

20.1. If any provision of these Terms is found by a court to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

20.2. No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that or any other right or remedy.

20.3. You may not assign, transfer or subcontract any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights in connection with a merger, acquisition or sale of our business.

20.4. These Terms, together with any policies referenced herein (including our Privacy Policy and Cookies Policy), constitute the entire agreement between you and us regarding the Service.
