1. General provisions

1.1. These Terms and Conditions (“Terms”) govern your use of the website iFileConverter (the “Website”) and the file conversion services provided by WISHES AND MEMORIES LTD (Company No. 15957246) with its registered office at Academy House, 11 Dunraven Place, Bridgend, Mid Glamorgan, United Kingdom, CF31 1JF (the “Company”, “we”, “us”, “our”).

1.2. By accessing the Website or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Website or the Services.

1.3. If you use the Services as a consumer, nothing in these Terms limits any mandatory rights you may have under applicable consumer protection laws.

2. Definitions

“Services” — online file conversion services enabling users to convert files (including but not limited to PDF to XLSX, XLS, CSV, DOCX, DOC, RTF, ODT, or TXT) using Tokens.

“File(s)” — the files you upload for conversion.

“Converted File” — the output file produced by the conversion process.

“Client”, “you” — any individual or entity using the Website or Services.

“Tokens” — internal credits used to access the Services (100 Tokens = 1 GBP/EUR, unless stated otherwise on the Website).

“Order” — a purchase of Tokens and/or redemption of Tokens for a conversion.

3. Eligibility and user responsibilities

3.1. You must be at least 18 years old to use the Services or purchase Tokens, or you must have the authority to act on behalf of a legal entity.

3.2. You are responsible for ensuring that your device, browser, and internet connection meet the technical requirements to use the Services, including downloading files.

3.3. You are responsible for the content of any Files you upload and for ensuring you have all necessary rights and permissions to upload and convert them.

4. Payments & Token System

4.1. Token model. The Services are provided on a token-based basis. Token packages and pricing are displayed on the Website and may include (illustrative):

• Starter — £10 / €10 = 1000 Tokens
• Pro — £20 / €20 = 2000 Tokens
• Enterprise — £30 / €30 = 3000 Tokens
• Custom — any custom amount (Token equivalent calculated at the stated rate).

4.2. Immediate deduction. Tokens are deducted immediately when a conversion starts. Once a conversion is initiated, Token deduction is instantaneous and cannot be reversed solely because you changed your mind or did not complete the download.

4.3. No cash value. Tokens are not legal tender, have no monetary value outside the Website, and are not transferable or assignable unless we expressly allow this in writing.

4.4. Pricing and changes. We may change Token prices, conversion costs, supported formats, limits, and availability at any time. Changes apply prospectively and do not affect conversions already initiated.

4.5. Payment processing. Payments are processed by third-party payment providers. We do not store full payment card details. Your bank or payment provider may apply additional charges (e.g., FX fees).

4.6. Refusal and fraud prevention. We may refuse, cancel, or suspend transactions where we reasonably suspect fraud, abuse, chargeback risk, or security threats.

5. Scope of Services, digital delivery and acceptance

5.1. Digital-only service. The Services are provided digitally and consist solely of converting Files from one format to another.

5.2. Supported formats. Output formats may include XLSX, XLS, CSV, DOCX, DOC, RTF, ODT, and TXT (and other formats displayed on the Website).

5.3. File size limit. The maximum upload size is 35 MB per file, unless stated otherwise on the Website. Files exceeding this limit may be rejected or may fail to process.

5.4. Instant digital delivery (local download). Upon successful conversion, the Converted File is made available to you via an immediate download to your device (typically to your browser’s default “Downloads” folder or another location based on your device/browser settings). We do not provide a dashboard or email delivery.

5.5. Delivery completion. Delivery is deemed completed when the Converted File is generated and the download is made available/initiated through your browser. If you close the page, cancel the download, lose connection, or your browser/device blocks downloads, this does not mean the Service was not delivered.

5.6. Deemed acceptance. You have 7 days from the time the Converted File is made available for download to report technical issues or severe defects to support. If no such report is received within that period, the conversion is deemed accepted and successfully completed.

5.7. Source file condition. Conversion results may be affected by the quality and integrity of the source File. Errors can occur where the source File is corrupted, incomplete, password-protected, contains unsupported structures, or was created by non-standard software.

6. File handling and storage

6.1. No retention after conversion. We do not store Files or Converted Files after the conversion process is completed.

6.2. Temporary processing. Files may be processed temporarily for the duration of the conversion (for example, in transient storage or memory required for processing). Once conversion ends, such temporary data is deleted as part of the normal process.

6.3. You acknowledge that because files are not stored after conversion, we may be unable to re-provide a Converted File if you fail to download it at the time it is made available.

7. Cancellation and refunds

7.1. Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms.

7.2. Because Tokens are deducted immediately when a conversion starts and delivery is digital, refunds are generally not available for Tokens spent on conversions, except where required by law or where the output is materially defective due to our technical fault and cannot be remedied.

7.3. If you request that the Service be provided immediately (which occurs when you initiate a conversion), you acknowledge that statutory cancellation rights for digital services/content may be limited or lost once performance begins, to the extent permitted by applicable law.

8. Intellectual property and ownership of files

8.1. Your ownership. You retain all rights, title and interest (including intellectual property rights) in and to your Files and any content contained within them.

8.2. No platform ownership. The Company does not claim any ownership rights in your Files or Converted Files. We provide a technical conversion service only.

8.3. Licence to process. By uploading a File, you grant us a limited, non-exclusive, worldwide licence to process the File solely for the purpose of performing the conversion and providing the Converted File to you. This licence ends when the conversion process is completed.

8.4. Your warranties. You warrant that you have all necessary rights and permissions to upload and convert the Files and that your use of the Services does not infringe any third-party rights or applicable law.

9. Privacy and data protection

9.1. We process personal data in accordance with our Privacy Policy and applicable law (UK GDPR and the Data Protection Act 2018).

10. Warranties and disclaimer

10.1. We will provide the Services with reasonable care and skill.

10.2. The Services are provided on an “as is” and “as available” basis. We do not guarantee that conversions will be error-free, that formatting will be preserved in all cases, or that the output will be compatible with all third-party software, older browsers, or outdated devices.

10.3. We do not provide legal advice or verification of the content of your Files.

11. Limitation of liability

11.1. To the maximum extent permitted by law, we are not liable for indirect or consequential losses, loss of profit, loss of business, loss of data, or reputational damage, except in cases of wilful misconduct or gross negligence.

11.2. Our total aggregate liability for any claim arising out of or relating to the Services is limited to the amount you actually paid for the Token package used for the conversion giving rise to the claim in the 12 months preceding the claim, unless a different limit is required by law.

12. Indemnity

You agree to indemnify and hold the Company harmless from any claims, liabilities, damages, costs or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your Files or your unlawful use of the Services; or (c) third-party claims relating to your Files or Converted Files.

13. Third-party links

The Website may contain links to third-party resources. We do not control and are not responsible for the content, accuracy, or policies of third-party sites.

14. Suspension and termination

14.1. We may suspend or terminate access to the Services where we reasonably suspect a breach of these Terms, illegal activity, abuse, fraud, or a security threat.

14.2. Termination does not affect any rights and obligations accrued prior to termination.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by a prominent notice on the Website and/or by email where appropriate. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

17. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer rights provide otherwise.

18. Miscellaneous

18.1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

18.2. Failure to enforce any right is not a waiver of that right.

18.3. These Terms, together with the referenced policies, constitute the entire agreement between you and the Company regarding the Services.
